These Terms and Conditions govern your access to and use of the Modern Bio website (the “Site”) and the purchase of any products offered through it. By accessing the Site or placing an order, you agree to be bound by these terms. If you do not agree, do not use the Site or place orders.
1. Research Use Only
All products sold by Modern Bio, LLC (“Modern Bio”) are intended exclusively for in vitro and laboratory research conducted by qualified personnel. Modern Bio products are not drugs, food, dietary supplements, cosmetics, or medical devices, and are not intended for human or veterinary consumption, diagnosis, prevention, treatment, or cure of any disease or condition. By purchasing a product, you acknowledge that you will not use it for any unauthorized purpose and that any such use is at your sole risk.
2. Eligibility and Buyer Representations
You must be at least 21 years of age and a qualified researcher, laboratory professional, or otherwise authorized to purchase research compounds under all applicable laws to place an order. By submitting an order, you represent and warrant that you meet these criteria, that you have the experience and facilities to handle research materials safely, and that all information you provide is accurate and complete. Modern Bio reserves the right to verify any representation, request documentation, and refuse or cancel any order at its sole discretion.
3. Orders, Pricing, and Payment
All prices are listed in U.S. dollars and are subject to change without notice. Modern Bio makes reasonable efforts to keep pricing and product information accurate, but reserves the right to correct typographical errors, refuse or cancel orders containing incorrect information, and limit order quantities. You are responsible for all applicable taxes, duties, customs fees, and other charges associated with your order, including those that apply in your jurisdiction. Payment is due at the time of order and must be made through one of the methods supported by the Site.
4. Order Finality and Returns
Because of the sensitive nature of research compounds and the need to maintain a controlled chain of custody, all sales are considered final upon order submission. Returns, exchanges, cancellations, and refunds are not available except as expressly described in our Refund Policy or as required by applicable law. Any approved return or refund will be handled in accordance with the Refund Policy in effect at the time of the request.
5. Product Use and Restrictions
You are solely responsible for compliance with all federal, state, local, and international laws and regulations applicable to the receipt, storage, handling, and use of the products you purchase. You agree not to resell, redistribute, repackage, relabel, or otherwise transfer Modern Bio products to any third party in a manner that misrepresents their intended use. Use of any product in or on humans or animals, or in any food, drug, cosmetic, or therapeutic application, is strictly prohibited and constitutes a material breach of these Terms.
6. Liability, Indemnity, and Warranty Limitations
Modern Bio products and the Site are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Modern Bio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. In no event will Modern Bio, its officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of any product or the Site, even if advised of the possibility of such damages. Modern Bio’s total aggregate liability for any claim arising out of or relating to a purchase will not exceed the amount you paid for the product giving rise to the claim. You agree to indemnify, defend, and hold harmless Modern Bio and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of any product, your breach of these Terms, or your violation of any applicable law.
7. Site Use and Intellectual Property
All content on the Site, including text, graphics, logos, images, product photographs, code, and the Modern Bio name and marks, is the property of Modern Bio or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any Site content for commercial purposes without the prior written consent of Modern Bio. Modern Bio may modify, suspend, or discontinue any aspect of the Site at any time and without notice, and may restrict or terminate access for any user who violates these Terms.
8. Privacy and Communications
Information you provide through the Site is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By placing an order or creating an account, you consent to receive transactional emails related to your purchases. You may receive additional marketing communications only where you have separately opted in, and you may opt out at any time using the links provided in those messages or by contacting us. Any feedback, suggestions, or other materials you voluntarily submit to Modern Bio become the property of Modern Bio and may be used without restriction or compensation.
9. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or your use of the Site or purchase of any product will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Before initiating any formal proceeding, you agree to first contact Modern Bio in writing and attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days. Any claim that is not resolved informally must be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Modern Bio may suspend or terminate your access to the Site at any time for conduct that it determines, in its reasonable discretion, violates these Terms or any applicable law.
10. Changes to These Terms
Modern Bio may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site or placement of new orders after the update constitutes acceptance of the revised Terms.
